Chris Callahan joined Chico & Nunes in 2019. His practice focuses on corporate transactions; mergers and acquisitions; real estate and land use; and government certification, licensing, and contracting.
Mr. Callahan helps guide clients through a variety of deals and issues, working with each one to ensure their unique goals are accomplished.
Mr. Callahan assists clients on a broad range of legal issues in connection with corporate governance; contract negotiations; acquisitions and dispositions; financing transactions; real estate transactions; employment and consulting arrangements; government certifications and licensing; and procurement policies and best practices. He also helps clients develop, implement and manage effective organizational policies and procedures, codes of conduct and governance guidelines. Mr. Callahan has extensive experience representing clients through the sales and acquisitions life cycle. He has facilitated the sales and acquisitions of companies structured as equity purchases, F-reorganizations, and asset purchases.
Before joining the firm, Mr. Callahan served as an intern at the Division of Trading and Markets at the Securities and Exchange Commission in Washington D.C., where he was involved with derivative reform efforts in the Office of Derivatives Policy. He also worked in-house for a large construction contractor conducting contract review and negotiations.
Mr. Callahan received his J.D. from the University of North Carolina School of Law. While at UNC, he served as Articles Editor for the North Carolina Journal of International Law.
Corporate Transactions (values up to $310 million)
- Represented a seller in the equity sale of an international armed-security services company to a financial buyer.
- Represented a seller in the F-reorganization equity sale of a regional engineering firm to a financial buyer.
- Represented a seller in the equity sale of a certified minority and woman-owned national transportation engineering firm to a publicly-traded strategic buyer with an Up-C umbrella structure.
- Represented a seller in the F-reorganization equity sale of a certified minority-owned regional environmental and industrial-hygiene testing lab to a financial buyer.
- Represented a buyer in the stock purchase of a minority interest in a privately-held corporation.
- Represented a client in a series of strategic sales and acquisitions related to the expansion of multiple parcel delivery companies.
- Represented a warehousing and logistics business in the wind-down of its operations and disposition of its assets.
- Provided contractual support to a private equity-funded transportation roll-up effort.
Financing Transactions
- Assisted as Co-Bond Counsel in the closing of the sale of ISFA’s $147 million Series 2019 Refunding Bonds.
